Took a little look and I see one thing missing from what YOU need in the D if it goes that far.
H pays your L fees after it's all said and done, start with 100% and negotiate down but I would settle for no less than 50%.
That's all I got for now, everything else looks good. Remember what I told you about him really needing this but finding out he didn't really want it after all.
